1. INTRODUCTION

Welcome to Cega Enterprise Int’l (“Cega,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of Cega’s services, including our website, platforms, digital products, and related services (collectively, the “Services”).

Cega Enterprise Int’l provides digital productivity tools, including but not limited to:

  • Resources for business owners, freelancers, content creators, and professionals

  • Digital downloads to streamline workflow and improve efficiency

  • Customizable design assets and tools for business communication and marketing


4. CLIENT OBLIGATIONS

Clients must:

  • Provide clear product needs and use-case information

  • Designate a primary point of contact if acting on behalf of an organization

  • Review and approve any requested customizations or template edits promptly

  • Provide necessary content and feedback where applicable

  • Ensure compatibility with their own tools before purchase or use


5. INTELLECTUAL PROPERTY RIGHTS

5.1 Client Materials

  • Clients retain all rights to their pre-existing materials

  • Clients must ensure they have all necessary rights to any content provided to us

  • Clients agree to indemnify Cega against intellectual property claims related to provided content

5.2 Project Deliverables

  • Upon final payment, clients receive full rights to the specific templates or custom edits purchased

  • Cega retains rights to:

    • Pre-existing frameworks, designs, and proprietary systems

    • Generic components and reusable assets

    • Use of work samples (with non-sensitive content) in our portfolio and promotional materials


6. CONFIDENTIALITY

6.1 Confidential Information

Both parties agree to:

  • Maintain the confidentiality of sensitive information

  • Use appropriate security measures to protect data

  • Limit access to authorized personnel only

  • Return or destroy confidential information upon request

6.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available

  • Was known prior to disclosure

  • Is independently developed

  • Is required to be disclosed by law


7. PROJECT EXECUTION

7.1 Timeline and Deliverables

  • Project timelines or delivery schedules (for custom work) will be specified in individual agreements or checkout pages

  • Any changes to the scope of work require written approval

  • Delays caused by client inaction may affect delivery

  • Force majeure events may impact delivery schedules

7.2 Change Management

  • All change requests must be submitted in writing

  • Any additional costs will be quoted and approved before implementation

  • Timeline adjustments will be communicated

  • Both parties must approve any scope modifications


8. WARRANTY AND DISCLAIMER

8.1 Service Warranty

Cega warrants that:

  • Our templates and digital products are professionally created

  • Deliverables will meet the described specifications

  • All content will be original or properly licensed

8.2 Disclaimer

  • We do not guarantee specific business results from the use of our templates or digital tools

  • We are not liable for issues arising from third-party software compatibility

  • Services and products are provided “as is” unless explicitly stated otherwise


9. LIMITATION OF LIABILITY

9.1 Liability Cap

  • Our liability is limited to the total fees paid for the specific purchase or service

  • We are not liable for consequential, incidental, or indirect damages

  • Exceptions apply in cases of gross negligence or willful misconduct

9.2 Indemnification

Clients agree to indemnify and hold Cega harmless against claims arising from:

  • Provided content or client use of templates

  • Misuse or modification of our products

  • Violation of these Terms


10. TERMINATION

10.1 Termination Rights

Either party may terminate the relationship if:

  • There is a material breach of these Terms

  • A party becomes insolvent

  • A force majeure event continues for more than 60 days

10.2 Termination Effects

Upon termination:

  • All outstanding payments are due immediately

  • Work in progress (if any) will be delivered in its current state

  • Confidential information must be returned or destroyed

  • Relevant terms of these Terms will survive termination


11. DISPUTE RESOLUTION

11.1 Mediation

  • Both parties agree to make good faith efforts to resolve any disputes

  • Mediation is required before initiating legal action

  • Mediation costs will be shared equally

11.2 Governing Law

  • These Terms are governed by the laws of the Federal Republic of Nigeria

  • Exclusive jurisdiction lies with the courts of Nigeria

  • The prevailing party in any legal action is entitled to reasonable legal fees


12. GENERAL PROVISIONS

12.1 Assignment

  • Clients may not assign these Terms without written consent

  • These Terms bind all successors and permitted assigns

12.2 Severability

  • If any part of these Terms is deemed invalid, the rest remains in full effect

  • Invalid provisions will be modified to reflect the original intent as closely as possible

12.3 Entire Agreement

  • These Terms constitute the full agreement between the parties

  • Supersedes any prior agreements or understandings

  • Any modifications must be in writing and agreed by both parties

14. Refund Policy

We strive to ensure your satisfaction with our products and services. If you are not completely satisfied, you may be eligible for a refund under the following conditions:

14.1. Eligibility

Refunds are available within 30 days of purchase. To qualify for a refund:

  • You must provide proof of purchase

  • A clear explanation of the issue must accompany your request

14.2. Non-Refundable Items

The following are non-refundable unless proven to be defective or not as described:

  • Downloadable digital products (e.g., templates, toolkits, etc.)

  • Customized or personalized items

  • Subscription fees (if applicable)

Due to the nature of digital content, we cannot issue refunds once a file has been downloaded or accessed, except under exceptional circumstances.

14.3. Processing

If your refund is approved:

  • It will be processed within 7–10 business days

  • The refund will be issued to your original payment method

14.4. Exceptions

Refunds may be denied if:

  • The product has been used extensively or shows signs of misuse

  • Your request does not meet the eligibility criteria

  • There is suspected abuse of our refund policy
